This End User License Agreement ("Agreement") governs the use of software applications and integrations published by BKZ Collective LLC ("BKZ Collective", "we", "us"), including our internal QuickBooks Online integration registered with Intuit. These applications are built and operated by BKZ Collective for its own business operations and for services BKZ Collective performs for its clients under separate written agreements.
The applications are licensed only to BKZ Collective principals, personnel and contractors acting on BKZ Collective's behalf. They are not offered to the public, are not listed in any app marketplace, and may not be connected to accounts that BKZ Collective does not own or is not authorized to operate.
Subject to this Agreement, BKZ Collective grants authorized users a limited, revocable, non-exclusive, non-transferable license to use the applications for BKZ Collective business purposes. All rights not expressly granted are reserved. You may not copy, modify, distribute, sublicense, reverse engineer or create derivative works of the applications except as permitted by law.
The applications connect to third-party services such as Intuit QuickBooks Online, Google Workspace and Toggl Track through their published APIs. Your use of those services remains subject to their own terms, including the Intuit Terms of Service. BKZ Collective does not control and is not responsible for third-party services.
Accounting data accessed through QuickBooks Online is used only to create, read and reconcile BKZ Collective's own invoices and ledger records. How we handle data is described in our Privacy Policy, which forms part of this Agreement.
You may not use the applications to violate any law, to access data you are not authorized to access, to interfere with the operation of any third-party service, or to send unsolicited communications.
The applications are provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement. To the fullest extent permitted by law, BKZ Collective is not liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of data, revenue or profits, arising from the use of the applications. BKZ Collective's total liability under this Agreement will not exceed one hundred US dollars.
BKZ Collective may suspend or terminate access to the applications at any time. Upon termination, the license ends and any connection to a third-party service may be revoked.
This Agreement is governed by the laws of the State of California, without regard to its conflict-of-laws rules. Any dispute will be resolved in the state or federal courts located in Marin County, California.
We may update this Agreement from time to time. The "Last updated" date above reflects the current version. Continued use of the applications after a change constitutes acceptance of the updated Agreement.
